1. Introduction

Terms and Conditions for Content Submission

FH Cinema (F Harmthon Production Sdn Bhd)

These Terms and Conditions ("Terms") govern the submission, distribution, exhibition, and monetization of Content through FH Cinema, a digital content distribution platform operated by F Harmthon Production Sdn Bhd ("FH Cinema", "we", "us") via fhcinema.com.my ("Website").

FH Cinema provides a platform for content owners, producers, filmmakers, and distributors to distribute and monetize creative works, including films, short films, documentaries, music videos, and other approved audiovisual content.

By submitting any Content to FH Cinema, you ("Publisher") acknowledge that you have read, understood, and agree to be bound by these Terms and any related policies published by FH Cinema.

If you do not agree with any part of these Terms, you must not submit Content to the platform.

These Terms shall be governed by and construed in accordance with the laws of Malaysia, including but not limited to the Electronic Commerce Act 2006 (Act 658), the Communications and Multimedia Act 1998 (Act 588), and any other applicable laws and regulations.

2. Definitions

"Content" refers to all films, short films, videos, documentaries, music videos, and other audiovisual materials made available on the Website, whether provided by FH Cinema or submitted by third-party Publishers.

"User" refers to any individual who accesses, browses, purchases, streams, or otherwise uses the Website and its Services.

"Publisher" refers to any individual, organization, production company, or legal entity that submits or provides Content to FH Cinema for distribution, exhibition, or monetization through the Website.

"Account" refers to a registered user account created to access specific features and services available on the Website.

"Membership" refers to a subscription plan offered by FH Cinema that grants eligible Users access to selected Content, features, benefits, or viewing slots subject to the applicable Membership terms.

"Viewing Slot" refers to a viewing credit allocated under a Membership plan that allows a User to unlock and access selected Content.

"Services" refers to all services provided by FH Cinema, including but not limited to content streaming, digital purchases (TVOD), Membership access, live streaming, promotional activities, and other related platform features.

"View" refers to a valid Content access recorded when a User assigns or unlocks Content using an available Viewing Slot under an active Membership plan.

Each Viewing Slot assigned to a Content shall be counted as one (1) valid View, regardless of the number of times the Content is replayed within the same assigned Viewing Slot.

Repeated playback of the same Content within a single Viewing Slot shall not generate additional Views.

If a User assigns or unlocks the same Content using multiple Viewing Slots, each slot assignment shall be counted as a separate View.

FH Cinema reserves the right to determine, verify, validate, and audit the legitimacy of all recorded Views and may exclude any Views deemed invalid, fraudulent, manipulated, automated, or otherwise inconsistent with normal viewing activity.

3. Eligibility

To access, use, or submit Content through FH Cinema, you must meet the following eligibility requirements:

You must be at least eighteen (18) years of age, or have obtained valid consent from a parent or legal guardian.
You must have the legal capacity to enter into binding agreements under the laws of Malaysia.
You agree to provide accurate, complete, and up-to-date information when creating an Account, submitting Content, or using the Website.

Certain Content available on the Website may be subject to age classifications, content ratings, or access restrictions. Parents and legal guardians are responsible for supervising and monitoring the use of the Services by minors under their care.

FH Cinema reserves the right to restrict, suspend, terminate, or refuse access to any User or Publisher who fails to comply with these eligibility requirements or provides false, misleading, or incomplete information.

4. Account and Submission Access

Content may be submitted to FH Cinema with or without a registered Account.

However, a valid registered Account is required for the review, approval, publication, monetization, and management of any submitted Content.

All submitted Content is subject to review and approval by FH Cinema prior to publication on the platform.

The Publisher is responsible for ensuring that all information provided to FH Cinema is accurate, complete, and up to date at all times.

Submitted Content must meet the minimum technical and quality requirements established by FH Cinema, including but not limited to acceptable video quality, audio quality, file integrity, and compliance with applicable laws and regulations.

FH Cinema may provide the Publisher with access to reporting data, including Views, sales, earnings, and other performance metrics based on system records.

FH Cinema reserves the right to reject, suspend, remove, restrict, or refuse publication of any Content or Account that contains false, misleading, inaccurate, or incomplete information, or that violates these Terms, applicable laws, or FH Cinema policies.

5. Intellectual Property Rights

The Publisher represents and warrants that they are the lawful owner of the Content or have obtained all necessary rights, licences, consents, and permissions required to submit, distribute, and monetize the Content through FH Cinema.

The Publisher grants FH Cinema a non-exclusive, worldwide, royalty-free licence to host, store, stream, display, distribute, market, promote, and make the Content available to Users through the FH Cinema platform for the duration of its publication on the platform.

The licence granted to FH Cinema shall include the right to use the Content title, synopsis, poster artwork, trailer, promotional images, and related marketing materials solely for the purpose of operating, promoting, and marketing the Content and the FH Cinema platform.

The Publisher retains full ownership and intellectual property rights in the Content at all times.

The Publisher shall be solely responsible for ensuring that the Content does not infringe the intellectual property rights, copyrights, trademarks, privacy rights, publicity rights, or any other rights of any third party.

The Publisher shall be solely liable for any claims, damages, losses, liabilities, costs, or expenses arising from copyright infringement, unauthorized use of third-party materials, or any breach of the representations and warranties contained in these Terms.

6. Content Withdrawal

The Publisher may request the removal of Content from FH Cinema at any time by providing written notice to FH Cinema via email, platform messaging system, or any other communication channel accepted by FH Cinema.

FH Cinema shall make reasonable efforts to remove the Content within a reasonable period after receiving the request.

The removal of Content shall not affect any rights, obligations, transactions, earnings, or liabilities accrued prior to the effective removal date.

FH Cinema reserves the right to retain promotional materials, historical records, reporting data, award records, and transaction records relating to the Content for administrative, legal, accounting, archival, or reference purposes.

The Publisher acknowledges that Content distributed through FH Cinema is licensed on a non-exclusive basis and may also be distributed through other platforms unless otherwise agreed in writing.

7. Revenue Sharing

1. Revenue Sharing Structure

For Content made available on FH Cinema through direct purchase (TVOD), sponsored tickets, or similar paid access methods, revenue shall be distributed as follows after deduction of the applicable transaction charge:

70% to the Publisher
30% to FH Cinema

FH Cinema reserves the right to deduct applicable transaction charges, payment gateway fees, taxes, or other charges before calculating the revenue distribution.

2. Membership-Based Viewing Payment

For Content accessed through Membership plans, payments to the Publisher shall be calculated based on the duration of the Content as follows:

3 – 9 minutes → RM0.01 per valid View
10 – 30 minutes → RM0.05 per valid View
31 – 50 minutes → RM0.10 per valid View
51 – 80 minutes → RM0.20 per valid View
More than 80 minutes → RM0.30 per valid View

Content with a duration of less than 10 minutes shall not be eligible for Membership-based viewing payments unless otherwise approved by FH Cinema at its sole discretion.

The applicable payment rate shall be determined based on the official duration of the Content as recorded and classified by FH Cinema.

FH Cinema reserves the right to offer alternative payment rates, promotional rates, special agreements, or custom revenue arrangements for selected Content, Publishers, events, campaigns, or strategic partnerships.

3. Definition of View

"View" shall have the meaning as defined in the Definitions section.

Each viewing slot assigned to a Content shall be counted as one (1) valid View.

FH Cinema reserves the right to determine the validity of any View recorded within the platform.

4. Eligibility for Payment

FH Cinema reserves the right to assess the validity of all recorded Views and to exclude any Views deemed invalid, abnormal, fraudulent, automated, manipulated, or otherwise inconsistent with normal viewing activity.

Only valid Views verified by the FH Cinema system shall be eligible for payment calculations.

5. Payment Terms

Payments to the Publisher shall be subject to the following conditions:

Payments will be processed every two (2) weeks
The minimum payout threshold is RM100
Payments shall be made via bank transfer or any other payment method determined by FH Cinema

Any unpaid balance below the minimum payout threshold shall be carried forward to the next payment cycle.

FH Cinema reserves the right to delay, withhold, suspend, or adjust payments in cases involving suspected fraudulent activity, policy violations, disputes, or breaches of these Terms.

6. Rights of FH Cinema

FH Cinema reserves the right to:

Determine the classification of Content based on its duration, format, structure, and overall quality
Verify, validate, and audit all Views recorded within the platform
Exclude, adjust, or remove any Views deemed invalid, abnormal, fraudulent, or manipulated
Amend the revenue sharing structure, payment rates, transaction charges, payout requirements, or eligibility criteria at any time with reasonable notice
Suspend, remove, or restrict any Content found to be in breach of these Terms or any applicable laws

8. Indemnification

The Publisher agrees to indemnify, defend, and hold harmless FH Cinema, its directors, officers, employees, representatives, partners, and affiliates from and against any claims, actions, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

Any breach of these Terms by the Publisher;
Any Content submitted, uploaded, distributed, or made available by the Publisher through FH Cinema;
Any infringement or alleged infringement of copyrights, trademarks, intellectual property rights, privacy rights, publicity rights, or other rights of any third party;
Any unauthorized use of third-party materials contained within the Content;
Any violation of applicable laws, regulations, or industry standards;
Any false, misleading, inaccurate, or incomplete information provided by the Publisher.

The obligations under this section shall survive the removal of Content, termination of an Account, or termination of these Terms.

9. Termination

FH Cinema reserves the right, at its sole discretion, to reject, suspend, restrict, remove, disable, or refuse publication of any Content, including but not limited to Content that:

Violates these Terms or any FH Cinema policies;
Infringes or is alleged to infringe any copyright, trademark, intellectual property right, or other third-party right;
Contains unlawful, fraudulent, misleading, defamatory, obscene, harmful, or otherwise inappropriate material;
May expose FH Cinema to legal liability, regulatory action, reputational harm, or operational risk.

FH Cinema may suspend, restrict, terminate, or permanently revoke a Publisher’s access to the platform if the Publisher breaches these Terms or engages in any activity that may adversely affect FH Cinema, its Users, or its Services.

FH Cinema shall not be liable for any loss of revenue, earnings, profits, opportunities, or other damages resulting from the suspension, removal, restriction, or termination of any Content or Account under these Terms.

Any provisions of these Terms which, by their nature, are intended to survive termination, including but not limited to Intellectual Property Rights, Payment Obligations, Indemnity, Limitation of Liability, and Governing Law, shall remain in full force and effect after termination.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malaysia.

Any dispute, claim, or controversy arising out of or relating to these Terms, the submitted Content, or the use of FH Cinema's Services shall be subject to the exclusive jurisdiction of the courts of Sabah, Malaysia.

The parties agree to submit to the jurisdiction of the courts of Sabah and waive any objection to such venue or jurisdiction.

11. Amendment of Terms

FH Cinema reserves the right to amend, modify, update, or replace these Terms at any time.

Any material changes to these Terms may be communicated through the Website, the Publisher's registered email address, or other communication channels deemed appropriate by FH Cinema.

The continued submission of Content, maintenance of an Account, or use of FH Cinema's Services following the publication of updated Terms shall constitute acceptance of such changes.

It is the Publisher's responsibility to review these Terms periodically for any updates or modifications.
